Put These Formula...
A Grade Students =SUMPRODUCT(--($C$2:$C$21>=4))
B Grade Students =SUMPRODUCT(--($C$2:$C$21>=3),--($C$2:$C$21<4))
C Grade Students =SUMPRODUCT(--($C$2:$C$21>=2),--($C$2:$C$21<3))
D Grade Students =SUMPRODUCT(--($C$2:$C$21>=1),--($C$2:$C$21<2))
F Grade Students =SUMPRODUCT(--($C$2:$C$21>=0),--($C$2:$C$21<1))

And Pie chart is so much easy to put... its too much easy assignment...
and these formulas are 100% correct if u apply..
